Terms of Service

These Terms of Service govern your use of the outbound lead generation services provided by Go2Leads Ltd. By engaging our services you agree to be bound by these terms. Please read them carefully before proceeding.

1. About These Terms

These Terms of Service ("Terms") form a legally binding agreement between Go2Leads Ltd ("Go2Leads", "we", "us", "our") and the individual or entity engaging our services ("Client", "you", "your"). By requesting, accessing or using our outbound lead generation services, you confirm that you have read, understood and agree to be bound by these Terms.

We reserve the right to update or amend these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the updated Terms. The current version is always available at https://go2leads.co.uk/terms.

2. Services

Go2Leads provides outbound lead generation services, which involve contacting prospect data on behalf of the Client to identify genuinely interested individuals and deliver qualified callback leads ("Leads") to the Client's sales team. The specific nature, scope and qualification criteria of each campaign are agreed in a campaign brief ("Campaign Brief") between Go2Leads and the Client prior to commencement.

2.1 Campaign Brief

All campaigns are governed by a Campaign Brief agreed in writing (including by email) prior to commencement. The Campaign Brief sets out the target geography, sector, prospect profile, qualification criteria, agreed weekly cost and any other relevant parameters. Go2Leads reserves the right to decline any Campaign Brief at its sole discretion.

2.2 Lead Delivery

Qualified callback Leads are delivered to the Client via a private Google Sheet shared with the Client's nominated team members. Go2Leads delivers Leads in real time as they are confirmed. The Client acknowledges that Lead delivery timings depend on campaign activity and cannot be guaranteed to occur at specific times or intervals within any given day or week.

2.3 No Guarantee of Volume or Conversion

Go2Leads agrees to use reasonable commercial endeavours to deliver an average number of Leads consistent with the agreed campaign parameters. Go2Leads does not guarantee any specific volume of Leads in any given week. Lead volumes may vary week to week depending on prospect availability, market conditions, and other factors outside Go2Leads' control. Go2Leads makes no representation, warranty or guarantee regarding the conversion of any Lead into a sale, customer or revenue for the Client. The Client accepts full responsibility for all follow-up activity and conversion outcomes.

2.4 Exclusivity

All Leads delivered to the Client are exclusive to that Client. Go2Leads will not knowingly deliver the same prospect to more than one client simultaneously. Go2Leads does not warrant that a prospect may not independently contact other businesses.

3. Client Obligations

The Client agrees to:

  • Provide accurate and complete information for the Campaign Brief;
  • Notify Go2Leads promptly of any changes to qualification criteria, targeting or other campaign parameters;
  • Ensure that all Leads are followed up promptly and professionally;
  • Comply with all applicable laws, regulations and codes of practice in connection with its use of Leads, including data protection legislation;
  • Not resell, redistribute or share Leads with any third party without Go2Leads' prior written consent;
  • Keep confidential any information provided by Go2Leads relating to its methods, processes or prospect data.

4. Fees and Payment

4.1 Weekly Billing

Go2Leads charges a weekly campaign fee ("Weekly Cost") as agreed in the Campaign Brief. The Weekly Cost is agreed upfront and covers all campaign activity for that week. Invoices are issued weekly and are payable within seven (7) days of the invoice date unless otherwise agreed in writing.

4.2 No Setup Fees

Go2Leads does not charge setup fees, onboarding fees or any other one-off charges unless expressly agreed in writing in advance.

4.3 Late Payment

Go2Leads reserves the right to suspend or terminate campaigns where payment is outstanding beyond the agreed payment terms. Late payment interest may be charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the statutory rate.

4.4 Price Changes

Go2Leads reserves the right to adjust the Weekly Cost upon giving the Client not less than seven (7) days' written notice. The Client may terminate the campaign in accordance with Clause 5 if they do not wish to accept a price change.

5. Term and Termination

5.1 Duration

Campaigns operate on a rolling weekly basis with no minimum term. Either party may terminate the campaign at any time by giving written notice (including by email) to the other party. Termination takes effect at the end of the then-current billing week unless otherwise agreed.

5.2 Immediate Termination

Go2Leads may terminate any campaign with immediate effect and without liability if the Client: (a) breaches these Terms and fails to remedy the breach within five (5) days of written notice; (b) becomes insolvent or enters administration; (c) uses Leads in a manner that is unlawful, misleading or in breach of applicable regulations; or (d) engages in conduct that Go2Leads reasonably considers to be harmful to its reputation.

5.3 Effect of Termination

On termination, the Client remains liable for all fees accrued up to and including the final billing week. No refunds are payable in respect of any completed billing week or any campaign activity already undertaken. The Client may retain and use Leads already delivered up to the termination date.

6. Intellectual Property

All proprietary methods, processes, data, prospect lists, scripts, software and systems used by Go2Leads in delivering its services remain the exclusive property of Go2Leads. The Client acquires no rights in any of the foregoing. The Client is granted a non-exclusive, non-transferable licence to use delivered Leads for its own internal sales purposes only.

7. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with these Terms and not to disclose such information to any third party without prior written consent, except as required by law or regulation. This obligation survives termination of the campaign.

8. Data Protection

Both parties shall comply with all applicable data protection legislation, including UK GDPR and the Data Protection Act 2018. The Client acknowledges that it becomes a data controller in respect of any personal data contained within delivered Leads and is solely responsible for ensuring that its use of such data complies with applicable law. Go2Leads acts as a data controller in respect of prospect data used during campaign activity. Our full data handling practices are set out in our Privacy Policy.

9. Limitation of Liability

Please read this section carefully. It limits Go2Leads' liability to you in connection with the services.

To the fullest extent permitted by applicable law:

  • Go2Leads' total aggregate liability to the Client for any and all claims arising under or in connection with these Terms shall not exceed the total Weekly Costs paid by the Client to Go2Leads in the four (4) weeks immediately preceding the event giving rise to the claim;
  • Go2Leads shall not be liable for any indirect, consequential, special, incidental or punitive loss or damage, including loss of profit, loss of revenue, loss of business, loss of anticipated savings or loss of data, even if advised of the possibility of such losses;
  • Go2Leads shall not be liable for any failure to deliver Leads resulting from factors outside its reasonable control, including but not limited to changes in prospect behaviour, market conditions, third-party data quality, telecommunications failures or force majeure events.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Warranties and Disclaimers

Go2Leads warrants that it will provide the services with reasonable skill and care. Save as expressly set out in these Terms, all other warranties, representations and conditions, whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law. In particular, Go2Leads makes no warranty that Leads will result in sales, appointments or revenue for the Client.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of not less than thirty (30) days from the date the dispute is first notified in writing.

12. General

Entire Agreement. These Terms, together with the Campaign Brief, constitute the entire agreement between the parties relating to the subject matter hereof and supersede all prior agreements, representations and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

Assignment. The Client may not assign or transfer any rights or obligations under these Terms without Go2Leads' prior written consent. Go2Leads may assign its rights and obligations to any successor or affiliate.

Notices. All notices under these Terms shall be in writing and delivered by email to the addresses agreed between the parties.
